In consideration of Atlantic Wholesalers West Inc. (“AWWI”) extending credit at my request to the business identified above, including its subsidiaries and affiliated companies (the “Reseller”), I, the undersigned guarantor, personally and unconditionally guarantee payment of the Reseller’s obligations to AWWI and agree to pay AWWI on demand any sum due when the Reseller fails to pay.

This is a continuing guaranty covering all extensions of credit, including increases to the Reseller’s credit limit, and is not limited to any particular credit application or transaction. Guaranteed obligations include credit extensions, transactions between the Reseller and AWWI, invoiced costs of goods and services, and related charges, interest, fees, costs, and expenses owed to AWWI.

I agree to reimburse AWWI for expenses incurred in collecting or enforcing its rights against the Reseller or me, including reasonable attorneys’ fees, costs, and collection-agent expenses. I subordinate obligations owed to me by the Reseller to the obligations the Reseller owes AWWI.

AWWI is not required to first pursue the Reseller, a co-guarantor, another party, or collateral before demanding payment from me. My obligations are not reduced by a change, restructuring, or termination of the Reseller’s organization or existence or restructuring of its obligations. I waive diligence, demands, protests, presentments, and notices of default and nonpayment, and consent to modifications or renewals of the guaranteed obligations.

Payments are to be made to AWWI at 4701 Whittier Blvd, Los Angeles, CA 90022. California law governs this guaranty, and the parties designate a court of competent jurisdiction in Los Angeles County, California, as an appropriate forum for enforcement.

This guaranty is general, continuing, absolute, unconditional, and irrevocable; it is a guaranty of payment, not collection. It benefits AWWI and its successors and assigns and binds the guarantor and the guarantor’s heirs and assigns. My liability is primary, direct, unconditional, and independent of the Reseller’s obligations.

If multiple guarantors sign, each is jointly and severally responsible. AWWI’s rights and remedies are cumulative. EACH PARTY WAIVES TRIAL BY JURY in an action, proceeding, claim, or counterclaim arising from or connected with this guaranty or the relationship between AWWI and the guarantor, to the extent enforceable under applicable law.
